We’re sorry to hear that! There are times when we run out of stock quicker than we are able to assign items for our lucky winners. You can always choose another item to receive instead (it should be the one of an equal price) just indicate it to our team.

NO PURCHASE IS NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING. ALL FEDERAL, STATE, LOCAL, AND MUNICIPAL LAWS AND REGULATIONS APPLY. VOID WHERE PROHIBITED BY LAW.

 

In order to determine your eligibility to receive the prize supplied by Semrush Inc. (“Semrush”,) for this Semrush 15th Birthday Giveaway (“Giveaway”), Semrush requires that you review and agree to these Official Rules before your participation in this Giveaway. By participating, Entrants (defined below) agree to be bound by these Semrush 15th Birthday Giveaway Official Rules (the “Giveaway Rules”) and the decisions of Semrush, which are final and binding in all respects, and you acknowledge that you satisfy all eligibility requirements. All information furnished to Semrush will be subject to Semrush's privacy policy, located at: www.semrush.com/privacy-policy/

 

Agreement to the Giveaway Rules: Participation in the Giveaway constitutes each Entrant's (as described hereinafter) full and unconditional agreement to and acceptance of these Giveaway Rules and the selection of Semrush’s judges, which is final and binding. By participation in the Giveaway you represent and warrant that you meet the eligibility requirements. Participation, winning, and accepting a Prize are contingent upon being compliant with these Giveaway Rules and fulfilling all other requirements set forth herein.

 

ELIGIBILITY: Open only to natural persons who are at the least eighteen (18) years old at the time of entry and who enter the Giveaway as required by these Giveaway Rules, accessible at merch.semrush.com (each an “Entrant”, “you” or “your”). Residents of the regions listed in clause “Locations exemptions”, employees, officers, and directors, and the immediate family members (i.e. spouse, parent, child, sibling, and their respective spouses, regardless of where they reside) and household members (whether or not related) of such individuals of Semrush (as described hereinafter), and other companies associated with the promotion of the Giveaway, and each of their respective parents, subsidiaries, affiliates are not eligible to participate in the Giveaway. All applicable federal, state and local laws and regulations apply. Void where prohibited or restricted by law.

 

GIVEAWAY PERIOD: The Giveaway entry period begins at 7:00 am (EST) on July 28, 2023 and ends at 9:00 a.m. (EST) on August 4, 2023 (the "Giveaway Period"). Winners will be selected from Entries properly submitted and timely received during the Giveaway Period.

 

HOW TO ENTER: To participate in the Giveaway the Entrant must write a comment under the post announcing this Giveaway in official social media pages of Semrush (LinkedIn, Twitter, Instagram)  (“Social Media”) describing the biggest marketing lesson learned during a marketing career. The Entrant`s Social Media page which participates in the Giveaway, and the comment shall be publicly available (not in a limited access mode) during the Giveaway Period and on a winner selection date.

 

The Entrant must be compliant with the Eligibility requirements to be eligible to win a Prize.

Limit is one (1) entry per person, per each Social Media shall apply regardless of whether a person has more than one account in any Social Media or more than one person uses the same Social Media account. Entries that are incomplete or do not adhere to the Giveaway Rules or specifications may be disqualified at the sole discretion of Semrush. Incomplete and robotic, automatic, programmed or similar entries will be disqualified.

 

WINNER SELECTION: Semrush will choose up to one hundred (100) unique comments which were made by the eligible Entrants, per each Social Media with the most insightful/funniest or most creative content on Semrush sole discretion, and each unique author of the chosen comment will become a potential winner. Such potential winners will be determined on or about August 4, 2023. One (1) Entry may win only one (1) Prize regardless of participation in several Social Media at the same time. The amount of Prizes may be decreased due to the low amount of Entries on Semrush sole discretion.

 

Potential winners will be notified via applicable Social Media account of the Entrant, which participated in the Giveaway. Upon notification or notification attempt, the potential winner will be required to respond, and execute and return a prize acceptance form and/or other release documents, and may be required to provide other documentation and information, including, but not limited to, valid identification and/or any additional information required to confirm eligibility, identity and compliance with these Giveaway Rules. Semrush shall have no liability for a potential winner’s failure to receive notices due to spam, junk e-mail or other security settings or for a potential winner’s provision of incorrect or otherwise non-functioning contact information. If a potential winner cannot be contacted, is ineligible, or fails to supply all requested information and documents within five (5) calendar days from the time award notification was sent, the potential winner may be disqualified, the Prize may be forfeited and an alternate winner may be selected. Potential winners must continue to comply with all terms and conditions of these Giveway Rules, and winning is contingent upon fulfilling all requirements. In the event that a potential winner is disqualified for any reason, Semrush will award the applicable Prize to an alternate winner by selecting the next best entry from among all remaining eligible entries. Only three (3) alternate selections will be held, after which the Prize will remain un-awarded. Once a potential winner and contact details of the potential winner are confirmed, it becomes a winner. Receipt by the winner of the Prize offered in this Giveaway is conditioned upon compliance with any and all federal, state, and local laws and regulations. Any violation of these Giveaway Rules by a winner, at Semrush‘s sole discretion, will result in the winner's disqualification as winner of the Giveaway, and all privileges as winner will be immediately terminated.

 

PRIZES/ODDS: Up to one hundred (100) selected winners will each receive 1 (one) $50 (USD) voucher for the purchase of Semrush Swag Store merchandise. If an order amount exceeds $50 USD, the excess amount shall be paid by a winner. Delivery costs will be covered by Semrush, and may take up to 45 (forty five) working days or more depending on the location of a winner. No cash or other prize substitution permitted. The Prize is non transferable. Any and all Prize-related expenses, including without limitation any and all federal, state, and/or local taxes, costs and expenses associated with Prize acceptance and use shall be the sole responsibility of the winner of the Contest, except where otherwise required by law. No substitution of Prize or transfer/assignment of the Prize to others by the winner is permitted. The Prize, including any portion thereof, cannot be duplicated, resold, transferred, assigned or redeemed for cash, and will not be replaced if lost, stolen or damaged. Semrush reserves the right to substitute a Prize (or any portion thereof) with a prize of comparable, lower or greater value in the event the Prize (or portion thereof) becomes unavailable for any reason.

 

Acceptance of the Prize constitutes permission for Semrush to use the winner’s name, likeness, and entry for purposes of advertising and trade without further compensation, unless prohibited by law.

 

LOCATION EXEMPTIONS: Residents of the following countries cannot participate in this Giveaway and will not be considered as Eligible Entries for the purposes of this Giveaway: Brazil, Cuba, Georgia, Iran, Myanmar, North Korea, Palestine, Russia, Sierra Leone, South Africa, Sudan, and Ukraine.

 

GENERAL CONDITIONS: In the event that the operation, security, or administration of the Giveaway is impaired in any way for any reason, including, but not limited to fraud, virus, bug, worm, unauthorized human intervention or other technical problem, or in the event the Giveaway is unable to run as planned for any other reason, as determined by Semrush in its sole discretion, Semrush may, in its sole discretion, either (a) suspend the Giveaway to address the impairment and then resume the Giveaway in a manner that best conforms to the spirit of these Giveaway Rules or (b) terminate the Giveaway and, in the event of termination, (if possible) award the Prize from the eligible, non-suspect entries received up to the time of the impairment. Semrush reserves the right, at its sole discretion, to modify these Giveaway Rules for clarification purposes without materially affecting the terms and conditions of the Giveaway, or as necessary to comply with laws. Semrush reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Giveaway or to be attempting to undermine the legitimate operation of the Giveaway by cheating, hacking deception, or any other unfair playing practices, or to be acting in violation of these Giveaway Rules or in an unsportsmanlike or disruptive manner, or with the intent to annoy, abuse, threaten or harass any other Entrant or any representative of Semrush, or to be inducing any other to engage in such acts. Any attempt to deliberately damage the Giveaway or operation thereof 3 is unlawful and subject to legal action by Semrush. SEMRUSH SHALL NOT BE OBLIGATED TO AWARD ANY PRIZE THAT RELATES TO OR ARISES OUT OF CHEATING, VIOLATION OF THESE OFFICIAL RULES OR APPLICABLE LAW, IMPROPER OR MISTAKEN PRIZE NOTIFICATION, OPERATION OR FUNCTION OF THIS GIVEAWAY. Failure by Semrush to enforce any provision of these Giveaway Rules shall not constitute a waiver of that provision.

 

LIMITATIONS OF LIABILITY: By participating in the Giveaway, Entrant releases and holds harmless Semrush and its subsidiaries and affiliated companies and each of their, officers, directors, employees, and agents (individually and collectively, “Released Parties”) from and against any and all claims and causes of action in any way arising out of or related to this Promotion or receipt or use of any prize. Entrant waives the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, incidental, direct or indirect. Entrant agrees that the Released Parties’ liability for any claim will not exceed $50.

 

PUBLICITY AND RELEASE: By entering the Giveaway, you agree that Semrush may use the information you provide in your entry to administer the Giveaway and award any Prize and that Semrush may use your information to contact you and for further marketing and/or promotional purposes. You can opt out of future Semrush marketing or promotions by contacting privacy@semrush.com.

 

Semrush will process any personal information that you provide or that Semrush collects in connection with your participation in this Giveaway in accordance with Semrush’s Privacy Policy found at www.semrush.com/privacy-policy/. By accepting any prize, you agree that Semrush may use your name, image, company name, and country to announce Giveaway winners or for any other reasonable and related promotional purposes.

 

INTELLECTUAL PROPERTY: By entering this Giveaway, you represent and warrant that your entry is an original work of authorship, and does not violate any third party’s proprietary or intellectual property rights. If your entry infringes upon the intellectual property right of another, you will be disqualified at the sole discretion of Semrush. If the content of your entry is claimed to constitute infringement of any proprietary or intellectual proprietary rights of any third party, you shall, at your sole expense, defend or settle against such claims. You shall indemnify, defend, and hold harmless Semrush from and against any suit, proceeding, claims, liability, loss, damage, costs or expense, which Semrush may incur, suffer, or be required to pay arising out of such infringement or suspected infringement of any third party’s right.

 

GOVERNING LAW AND JURISDICTION. Any disputes that may arise hereunder shall be governed in all respects by the laws of the Commonwealth of Massachusetts without regard to the conflicts of laws principles of any jurisdiction. Venue with respect to any such disputes shall be had in the state and federal courts of the Commonwealth of Massachusetts.
